End User License Agreement

The commercial agreement governing paid subscription use of ZingPDF.

This agreement is between Tom Bowers of tom@zingpdf.com and the customer obtaining paid rights to ZingPDF.

License grant

During an active subscription term, and subject to payment and compliance with the agreement, the customer may use ZingPDF commercially, permit use by the number of purchased developer seats, and distribute the unmodified software only as embedded in the customer's compiled application.

Restrictions

  • no modification, adaptation, derivative works, or reverse engineering except where applicable law prevents that restriction
  • no source redistribution
  • no standalone redistribution of ZingPDF
  • no resale, sublicensing, rental, leasing, lending, or transfer of ZingPDF as a library, SDK, package, service, toolkit, or competing offering
  • no removal of copyright, trademark, or proprietary notices
  • no sharing of license coverage across separate legal entities unless agreed in writing

Commercial scope

All paid subscriptions include access to all generally offered ZingPDF packages unless stated otherwise in writing. Contractors may use seats licensed to the same customer legal entity. Bundling the unmodified binaries inside the customer's own application is allowed.

Subscription and support

The commercial license is subscription-based. While subscribed, the customer may use any version made available by Licensor and receives any support or maintenance included with the applicable plan or order. No perpetual right to continue commercial use after expiry is granted unless agreed in writing.

Warranty and liability

ZingPDF is provided on an "as is" and "as available" basis, without warranties except where expressly agreed in writing. To the maximum extent permitted by law, indirect and consequential damages are excluded, and aggregate liability is capped at the fees paid in the 12 months preceding the claim.

Termination and governing law

The agreement terminates for uncured breach after 30 days' written notice where the breach is curable. It is governed by the laws of New South Wales, Australia, and disputes are subject to the exclusive jurisdiction of the courts of New South Wales.
